and Family Law. This Corporate Associate position will be housed in
our renowned Corporate and M&A group. Requirements: Position
Details We are looking for an experienced transactional attorney
with corporate experience to join our established and growing
practice. This individual will manage a range of corporate
transactions including mergers and acquisitions, corporate
restructuring, succession planning and general corporate advice and
counsel. The successful candidate will have extensive experience in
all aspects of corporate transactions and the ability to lead and
manage projects and negotiate deal terms. Requirements Five plus
years of transactional experience with corporate mergers and
acquisitions as a licensed attorney. Ability to handle heavy
transactional deal volume and collaboration within the corporate
team. Must have strong legal writing skills, analytical and ability
to build relationships. Experience with a wide range of corporate
transactions, including direct experience in the past several years
with an emphasis on mergers, acquisitions, and business
structuring. Formation and operation of Minnesota, Delaware (and
other state) corporations and limited liability companies
Counseling new companies regarding choice of entity Mergers,
acquisitions and dispositions Private placements, Regulations D
offerings, and Federal and state securities law compliance and
filings Implementation of equity incentive plans including stock
options and restricted stock Drafting board and stockholder
resolutions for various corporate actions Counseling directors and
executive officers of corporate entities Structuring equity
allocations to founders and employees of startup companies Seed and
venture capital financing transactions Drafting NDAs, MSAs, Terms
of Use, employment agreements, shareholder agreements, buy-sell
agreements and other general corporate agreements Basic familiarity
with recurring tax, employment and intellectual property issues

Requirements This role operates in a professional office setting,
routinely working with standard office equipment. Generally, due to
the nature of this office position, the person in this role would
be required to talk and hear, sit or stand for long period of time,
and use their hands and fingers, to handle and feel. Occasionally
required to walk, reach with arms and hand, climb or balance, and
to stoop, kneel, or crouch. Regularly required to lift and/or move
up to 10 pounds, occasionally lift and/or move up to 25 pounds.
